Terms of Use & Privacy Terms

1. OVERVIEW:

This Colgate Dentists for Me Application (hereinafter referred to as the “APP”) is developed on behalf of Qais Consulting India Pvt Ltd (VMLY&R India)’s client M/s. Colgate-Palmolive (India) Limited (“Colgate”) and is developed by M/s. NOCON Solutions Private Limited (“APP Developer ”), in order to assist the patients to reach out to the dentists online for free consultation, especially, in view of the current conditions due to the pandemic COVID-19 making it difficult to venture outside. The APP is developed and Copy Protected by M/s NOCON Solutions Private Limited (“App Developer”) and licensed by Colgate through Qais Consulting India Pvt Ltd (VMLY&R India).

This APP may be continued in larger interest even beyond the end of the pandemic period, for the benefit of all patients. For the sake of clarity it is made very clear that apart from the sponsoring of this APP to be developed by the APP developer and ensuring its maintenance from time to time for the Patient-Dentist community, Qais Consulting India Pvt Ltd (VMLY&R India) / Colgate has no financial interests or any other gains or interest in any other form, whether direct or indirect.

The APP and its Terms of Use are available to all patients (the “Patients”) and the registered dentists (“Dentists”) tied up with the Agency / Colgate who are ready to provide free dental consultation to the patients online as per their availability. Both the Patients and Dentists are jointly referred to as users (“User(s)”). By registering on the APP either by internet web based portal or installing the APP as and when made available or by using the service in any manner, the User agrees to all of the Terms of Use and Privacy Terms contained herein. Subject to compliance with these Terms of Use and Privacy Terms which constitute a legally binding undertaking from the Users, Qais Consulting India Pvt Ltd (VMLY&R India) / Colgate hereby grants the User(s) a non-exclusive, limited purpose license to use and access the APP on the terms contained herein. The APP Developer acknowledges that it shall be responsible for all User Data and shall be dealt in accordance with the Terms of Use and Privacy Notice hereof and the HIPPAA regulations.

2. Relationship between Parties:

The relationship between Qais Consulting India Pvt Ltd (VMLY&R India) / Colgate and the Users is on a principal to principal basis and there is no financial or otherwise any transaction or relationship established by the use of this App, whether used on the web based portal or mobile based application, if any, as the case may be.

Further, the relationship between Qais Consulting India Pvt Ltd (VMLY&R India) / Colgate and the APP Developer is on a principal to principal basis. The APP Developer has a role towards provisioning the technology, maintenance and operation of the APP.

3. Features for use of the APP for Patients:

a) Subject to acceptance of the Terms of Use and Privacy Terms herein, Patients shall use the APP only for the purpose of seeking online based consultation from the Dentists who are registered on the APP and available as per the availability shown on the APP for free of cost.

b) The APP will allow only registered Patients on the APP to use the service at any number of times for free of cost consultation depending on the availability of the service.

c) At the first time login, the Patient will be required to provide details such as full name, date of birth, email, gender and address and set up his / her login id and password as per the process flow on the APP.

d) The Patient will be able to avail the free dental consultation either through video, audio or text mode depending on the availability of the Dentists and the mode of communication as mentioned above.

e) KINDLY NOTE THAT THIS APP IS NOT MEANT FOR USE DURING ANY DENTAL EMERGENCY OR RELATED ISSUES REQUIRING IMMEDIATE SUPERVISION BY A DENTIST OR A HEALTHCARE PROFESSIONAL IN PERSON TO ATTEND SUCH PATIENT.

f) In case the online dentist appointment is available to connect, then as per the successful appointment, the dentist will try to understand and assess the issue of the concerned Patient and if the same can be managed then he / she may suggest either Patient counselling, education or prescribing medicine which can be prescribed as per applicable regulations. He may also request for in-person consultation thereafter or follow up which is upto the Patient to avail at his / her clinic.

g) However, if the Dentist is unable to understand the issues faced during online free consultation, then the dentist may require and suggest the Patient to visit for an in person consultation and management / treatment at his / her clinic.

h) Kindly note that the APP is made available free without any charges only for dental consultation taken over the APP. Any visits / follow up made/ treatment taken / counselling, management done outside the APP, whether on the basis of the advice / consultation given by the online Dentists over the APP or not, the same shall be chargeable by the Dentists to the Patients as per their private transaction between them. In such case, neither Qais Consulting India Pvt Ltd (VMLY&R India) / Colgate nor APP Developer shall be in any manner liable for the same.

i) Kindly note that APP does not provide any guarantee or feature that once an online based consultation is made with one Dentist, he / she will not necessarily be able to follow up with the same Dentist again through the APP. He / she may choose to visit such preferred Dentists in person at this clinic on a chargeable basis.

j) A Patient may use Video interaction or Audio interaction or Chat tool to avail the free online dental consultation only.

k) The APP does not solicit or request for any card or payment details or methods or modes or financial information in any manner. In case of any communication received in this regard pertaining to the use of this APP, then it may be an act of external fraudulent persons or a possible cyber attack etc., which kindly make a note of.

l) The APP only serves as an effective web based or mobile application based tool, as the case may be for availing online free dental consultation only from available registered Dentists of the APP and no other purpose.

m) Patients can view the history of their consultation done over the APP, can check their profile, history, records of consultation as may be created or generated by the use of the APP or provided by the Users by updating their information from time to time on the APP.

n) The APP is not meant to create a patient healthcare digital database of the past health history of the Patient. The APP only generates data of past consultation if any done using this APP limited to dental issues only and not the overall health issues.

o) For the sake of clarity, it is made amply clear that the APP does not guarantee the fulfillment of the Patient expectations to cure or treat or mitigate any dental problem with the online consultation availed through the APP and it is only meant to address basic consultation of the dental issues faced by the Patients.

p) Unavailability of any Dentist or service on the APP shall not make Qais Consulting India Pvt Ltd (VMLY&R India)/ Colgate or the App Developer liable or responsible in any manner whatsoever and in such cases, the Patient may have to make necessary arrangements to visit a Dentist in person at his own cost and expenses.

q) The consultation / treatment or transactions carried out between the Patient and the Dentist outside the APP scope of service shall be between the Patient and the Dentist to be handled between them at their own credit / cash terms of payment etc. Qais Consulting India Pvt Ltd (VMLY&R India) / Colgate shall not be responsible or liable for any loss or receivable or bad debts or bad experience that the Patient / Dentist may face in such cases.

r) Once an appointment is booked on the APP, the Patient must endeavour to attend such an appointment and not let it go as a no show. Many other Patients may be trying hard to get an appointment which otherwise becomes unfair to them.

s) In case of any changes, kindly update the cancellation well in advance to manage.

t) The APP may require certain important improvements in order to function the same efficiently and for this purpose there may be forced update(s) from time to time which will be implemented without User's manual intervention to accept the update on the APP. By accepting these terms User is made aware of this requirement and the same is deemed to be consented upon agreeing with these T&Cs. For auto updates, Users will have to ensure that the internet connection is strong and active.

u) In case the APP is no longer going to be made available or is decided to be discontinued, a notification on the APP to this effect will be intimated in advance as may be deemed appropriate by the APP owner, so as to intimate the User; and the APP owner shall not be responsible or liable in any manner whatsoever for any loss, inconvenience or issues faced by the User. It is recommended to delete the APP once it is discontinued as the same shall not be functional unless otherwise informed by the APP owner.

4. Features for use of the APP for Dentists:

a) Only registered Dentists having tied up with Qais Consulting India Pvt Ltd (VMLY&R India) / Colgate and are willing to provide free of cost consultation on dental matters to the Patients using this APP will be able to use this APP.

b) Through the APP the Dentist can provide either Audio, Video or Text based free of cost consultation services.

c) The Dentist agrees to share certain personal information as mentioned in this document for the purpose of locating and connecting to the Dentist for the purpose of this APP only.

d) Dentists agree to provide the dental consultation free of charge or any other expenses to the Patients who have booked an appointment through the APP.

e) Dentists who have accepted or issued the appointment to the Patient must honour such an appointment to the extent possible in the most professional manner as the medical code of conduct as may be applicable

f) In case the Dentist wishes to opt out of this APP then he / she may use 'Technical Support' feature on the log in phase & inform about their decision. They can also connect with POC team members.

5. How to access / download the APP and other information?

a) The App will be available on the web at the www.dentistsforme.in

b) The APP may also be downloaded free of cost (while Internet data charges may apply) for the download of the APP as per the User’s data plan with the telecom companies.

c) The mobile based APP, if launched at any time, will be available on Google Play store for Android smartphone & IOS users only.

d) Once the APP is downloaded the User will need to complete the profile / registration page and will need to provide permission as listed below for the use of the APP.

e) App will require an active and strong data connection to use the APP.

f) This APP can be downloaded only on such mobile phone(s) which supports the functionality to download the same from the authorized platforms on which it is hosted.

g) Further as an advancement to the APP, the existing Users can also call on the toll free number 1800-266-2336 in order to take an instant appointment of the available Dentist or scheduling an appointment of the Dentist upon following the necessary instructions on the IVR or as per the helpdesk executives.

h) Kindly note that in case the potential new Users who call on the toll free number 1800-266-2336 for appointment, will be requested to provide their name and mobile number by the helpdesk executives for assessing if the User is an existing user or not. If the record does not exist, then the new potential users will be required to provide their personal details as per the Terms and conditions and Privacy Policy hereof for creating the profile. Kindly note that creation of profile does not give Users the ability to book and attend an appointment or access other features of the APP unless they accept the Terms and conditions and Privacy Policy hereof basis the instructions as may be received in this regard. DO NOTE THAT ONLY THE ABOVE TOLL FREE NUMBER IS AN AUTHORISED NUMBER FOR THE APP AND THERE IS NO OTHER TOLL FREE NUMBER. KINDLY SHARE YOUR PERSONAL INFORMATION WITH PROPER CARE AND ASSESSMENT BEFOR SHARING. ALL THE INFORMATION SHARED BY NEW USERS OVER THE TOLL FREE NUMBER WILL BE USED AND STORED ONLY IN TERMS OF THIS TERMS AND CONDITIONS AND PRIVACY POLICY HEREOF AND ANY EXPLICIT CONSENT TAKEN OVER SUCH CALL WITH PROPER INFORMATION.

Mobile App Permissions from users

The Mobile based APP also requires specific permissions from the patients for the following purpose for each access.

i. Camera - Usage Description –The APP will only upload the photos that you choose, for messaging, Video sessions, medical records and for setting up your profile within the app.

ii. Photo Library- Usage Description – The App will only upload the photos that you choose, for messaging, Video sessions, medical records and for setting up your profile within the app.

iii. Location Always - Usage Description – Patient’s current location will be displayed on the map and used for showing nearby search results and Directions

iv. Location When In Use - Usage Description - Your current location will be displayed on the map and used for showing nearby search results and Directions

v. Microphone - Usage Description (In video call) - Your voice will be recorded for converting the same to Text using Speech-To-Text functionality

vi. Speech Recognition- Usage Description – The App will write down everything you say

Note

a) At present the APP is not using any location service access, however, once the same is available a notification access will be automatically shown by the system.

b) The VMLY&R India and / or Colgate /or APP Developer may also use the User Name, age, date of birth, email address, phone number for the purpose of reaching out to the user to understand their user experience, feedback, grievances, improvement etc. needs in relation to the APP.

c) In addition, VMLY&R India and / or Colgate /or APP Developer may also use carryout certain data analytics for providing enhanced user experience to the Users which may include understanding the patient Behavior on the APP (time spent, pages visited in the APP, user journey on APP), media optimization (source of traffic, sign ups on APP), Usage of APP (appointments and calls), support information (Technical Support queries and feedback) etc.

d) VMLY&R India and / or Colgate upon seeking your explicit consent to use your name, gender, email address, address, date of birth, mobile number at the time of first time registration, and may thereafter send User Colgate’s promotional offers, special offers, newsletters, Colgate’s product launches information, Colgate feedback & surveys, advertising messages / communication or Colgate’s product samples information through email or by calls / text messages or by courier. In case User needs to opt out at any time, then he / she needs to click on Technical Support icon on Dentistsforme.in page followed by clicking on Customer support and mentioning opt out with email id, mobile no.

e) VMLY&R India and / or Colgate will also be capturing the IP address of the Users devices when used for the purpose of logging and using the APP. The IP address is predominantly captured in order to keep a record of the authentic and genuine users using the APP and to ensure safeguards for all the Users against any misuse of the APP by certain miscreants or misbehaving users or for tracking any cybercrimes / threats to ensure security etc. The IP address may be shared along with suitable User details with competent authorities in case any incident reporting or upon instructions of the competent authorities.

b) HOW DO WE STORE SUCH INFORMATION AND WHERE?

The demographic information of the patient and dentists are saved in the secure cloud database of the application. Along with this, the platform stores the Medical documents in secure cloud storage which is HIPAA compliant.

c) WHERE & HOW DO WE USE SUCH INFORMATION?

The APP collected information will be used only for the above mentioned purposes of the APP and will not be used for any other purpose without the prior approval of the User(s).

7. PRIVACY NOTICE:

Colgate provides this Privacy notice to help Users to make an informed decision about whether to use or continue using the APP. If you do not agree to these terms, please do not use the APP. This Privacy notice is incorporated into and is subject to the APP Terms of Use. User’s use of the APP and any personal information you provide on the APP remains subject to the terms of this Privacy notice and Colgate’s Terms of Use. This Privacy notice is part of the APP’s Terms of Use and covers the treatment of user information, including personally identifying information, obtained by the APP, including information obtained when you use the APP or any related updates, new version or software provided by Colgate.

8. OTHER PRIVACY TERMS:

Colgate does not and will not sell or share any Personally Identifiable Information (such as mobile phone number, name, address etc.) with other third-party companies for their commercial or marketing use. Colgate may share User’s Personally Identifiable Information with authorized agencies / third party service providers or Authorised distributors to the extent that it is reasonably necessary to perform the given services, improve or maintain the APP.

Colgate may collect and release Personally Identifiable Information and/or non-personally- identifiable information if required to do so by law, or in the good faith belief that such action is necessary to comply with State and Central laws, International law or respond to a court order, subpoena, or search warrant or equivalent, or where in our reasonable belief, an individual’s physical safety may be at risk or threatened.

If User does not agree with these Terms of Use, please do not install the APP and in case already installed then delete your account, uninstall the APP and discontinue use of the APP; your continued usage of the APP will signify your assent to and acceptance to the Terms of Use.

9. LIMITED LICENSE TO USE THE APP:

a. In order to access and use the APP, User acknowledges and agrees that he/ she will have to provide certain necessary permissions and updation of profile. The APP is provided to the User(s) for use on a non-exclusive user license basis and Colgate reserves its right to terminate / cancel User access at any time as per its discretion.

b. The access to the APP cannot be assigned or transferred to any other person without Colgate’s written permission and if done otherwise, the same will be considered as a serious violation of the license and the Terms of Use by the User.

c. User must take appropriate steps to block his access to the APP immediately upon any breach of security or unauthorized use of his / her mobile phone. Although Colgate will not be liable for the Users’ losses caused by any unauthorized use of his / her account, User shall be liable for any losses that may be caused to Colgate or others due to User’s negligence / failure to take sufficient care for protecting against such breach of security or unauthorized use of his / her mobile phone.

d. User further agrees that he / she will not:

(i) interfere with or disrupt the integrity or performance of the APP or the data contained therein; or

(ii) attempt to gain unauthorized access to the APP or its related systems or networks

(iii) solicit login information or access an account belonging to someone else

(iv) use the APP to do anything unlawful, misleading, malicious, or discriminatory

(v) facilitate or encourage any violations of this Terms of Use or Colgate policies

(vi) use the APP for any other purpose than the authorized use for which it is licensed by Colgate.

(vii) duplicate, transfer, give access to, copy or distribute any part of the Service or its contents in any medium without Colgate’s prior written authorization;

(viii) attempt to reverse engineer, alter or modify any part of the Service.

e. USER AGREES THAT USE OF THE APP SHALL BE AT HIS / HER SOLE RISK AND JUDGEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, COLGATE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE APP AND USER’s USE THEREOF. COLGATE MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE APP CONTENTS AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM USER’s ACCESS TO AND USE OF THE APP SERVICE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICE, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE APP BY THE ACTIONS OF ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE APP., AND/OR (VI) THE DISCLOSURE OF INFORMATION PURSUANT TO THESE TERMS OF USE. COLGATE DISCLAIMS AND DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE OR SCHEME ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE APP OR ANY HYPERLINKED WEBSITE FEATURED IN ANY USER SENT TEXT OR OTHER ADVERTISING, USER SHOULD USE HIS/ HER OWN BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE IN USING THE APP. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. USER SPECIFICALLY ACKNOWLEDGES THAT COLGATE SHALL NOT BE LIABLE FOR USER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH THE USER.

f. User shall be responsible for keeping the access to the APP, your mobile device safe, protected and secured and shall keep Colgate notified for any misuse or breach of the APP.

10. INDEMNIFICATION:

User agrees to defend, indemnify and hold harmless Colgate / Qais Consulting India Pvt Ltd (VMLY&R India) /APP Developer, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) User’s use of and access to APP; (ii) User’s violation of any Terms of Use; (iii) User’s violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any third party claim caused due to User’s usage of the APP legally or illegally, whether intentionally, unintentionally or by misuse etc. This defense and indemnification obligation will survive the cancellation, termination, suspension or withdrawal of the User's access to the APP or discontinuation / inability to use the APP.

User agrees to also defend, indemnify and hold harmless the APP Developer, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) use of and access to the information that are collected in 6.0. This defense and indemnification obligation will survive the cancellation, termination, suspension or withdrawal of the User's access to the APP or discontinuation / inability to use the APP.

11. TERMINATION OF ACCOUNT

Colgate reserves its right to terminate User’s account access to the APP, restrict, suspend certain features in User’s access to the APP; delete, move, or remove any content that is made available in or through the APP by Colgate; make rules/ guidelines for the safekeeping and usage of the APP at any time with or without any prior notice. User may delete the APP by uninstalling the APP in case he does not agree with any of the terms hereof.

12. PROPRIETARY RIGHTS

Unless otherwise stated under this Terms of Use, all intellectual property rights including the trademarks, Brand name 'Dentists for Me' and its design, texts, audios, pictures, graphical images, videos, logos, information introduced through the 'Dentists for Me' Application, made available or pushed through or used under the Application created with Colgate employees/ its agencies, shall be the sole property and ownership of Colgate. The pre-existing intellectual property pertaining to the 'Dentists for Me' Application, UX layout, Application prototypes, technology, integrations, the source code, knowhow, designs, blueprints, concepts, diagrams, documentations used in the creation of the Application by the APP Developer and is licensed in the 'Dentists for Me' Application, and the process devised for Telehealth services, shall be the sole property of the App Developer.

User agrees to not use or misuse any intellectual or proprietary information of Colgate; or remove, conceal or obliterate any information pertaining to the intellectual property of Colgate. Any infringement / passing off shall be considered as a serious violation and shall be liable for strict action to the fullest extent permitted by law.

Notwithstanding the foregoing, the User’s personal information collected, stored and used for the APP shall always remain confidential and the exclusive property of the respective user at all times, which shall be protected by Colgate / Qais Consulting India Pvt Ltd (VMLY&R India) /APP Developer, or any other party that collects and stores personal information, as a custodian on behalf of the respective User.

13. GOVERNING LAW & JURISDICTION:

These Terms of Use are governed by the Laws of India and in case of any disputes, the Courts at Mumbai shall have the exclusive jurisdiction.

14. MISCELLANEOUS

a. If any provision of these Terms of Use is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect.

b. No waiver of any term of this Terms of Use shall be deemed a further or continuing waiver of such term or any other term, and Colgate’s failure to assert any right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If you do not agree to the revised Terms, your only recourse is to discontinue the use of the APP. Your continued use of the APP following any amendment of these Terms of Use will signify your assent to and acceptance of its revised terms.

d. User shall comply with the terms and conditions of these Terms of Use, any additional guidelines/ Rules posted at the time of use of the APP and the Colgate privacy terms, all of which shall constitute the Terms of Use herein.

These Terms of Use are deemed as duly read, accepted and consented by the User upon installing the APP and are legally binding and enforceable.
